Sales Commissions Scheme

Numinagem’s unique commission scheme helps our Purchasers to save and earn while they spend. You are entitled to a sales commission payout when you have successfully introduced a buyer that has successfully purchased our Products. As the introducer of our Products , you will be entitled to a sales commission of 20% of the Product price for each of the item. The Buyer introduced by you will be entitled to a discount of 10% of the product price for each item of his purchase. The entitlement of our sales commissions shall be subject to the terms and conditions herein contained.

TERMS AND CONDITIONS

1. Qualification For Entitlement

1.1 You must fulfill the following the conditions :-

a) You must be 18 years of age; and
b) You must have registered yourself at our registration page following the steps as appeared therein; and
c) You must make a purchase of a minimum of quantity of one (1) item of our Products from NUMIAGEM through this Website.

1.2 If you are a first time buyer and you are not a buyer introduced by our existing buyer, the following shall be applicable:-

a) Upon your purchase of our Products you will be assigned with a buyer identity code ( hereinafter referred to as “BIC”) which shall be kept safely by you at all times. The BIC is issued to you strictly for your personal usage. This BIC shall only be given out to the buyer whom you wish to introduce for the purchase of our Products. The BIC cannot be assigned to anyone without written consent from us. Any unlawful and unpermitted usage of your BIC will result in the termination of your BIC whereupon all your privileges and entitlement of sale commission will be cancelled. In the event that you shall cancel your purchase in accordance with the terms and conditions stipulated in this Website, and you shall decide not to make any purchase thereafter, the BIC issued to you will be cancelled and it will be invalidated.

b) As a first time buyer and if you are a not a buyer introduced by our existing buyer. You will be a buyer without a BIC. You will not be entitled to any discount for your purchase from our products price list.

1.3 If you are a first time buyer of our Products introduced by our existing buyer, you will be referred to as a first time buyer with a valid BIC. The following shall be applicable:-

a) Being a first time buyer introduced by our existing buyer you are required to obtained from your introducer his BIC whereby you will be required to fill in his BIC to the required section when you make purchase of our Products from this Website. Upon your successful purchase of our Products with a valid BIC thereof you will be assigned with a BIC which shall be kept safely by you at all times. This BIC shall only be given out to the buyer whom you wish to introduce for the purchase of our Products. The BIC cannot be assigned to anyone without written consent from us. Any unlawful and unpermitted usage of your BIC will result in the termination of your BIC whereupon all your privileges and entitlement of sale commission will be cancelled.

b) As a first time buyer with a valid BIC you will be entitled to a discount of 10% off our Products price list.

1.4 When you have become a buyer with your assigned BIC you will be referred to as a introducer. The following shall be applicable:-

a) Being a introducer you will be entitled to a sales commission of 20% from the purchase price of the Products price list on the Products purchased by every buyer introduced by you.

b) You are also entitled to a discount of 10% off our Products price list should you wish to purchase our Products. In addition thereto you will also be entitled to a sales commission of 20% from the purchase price of the Products price list.

2. Payment Of Sales Commissions

2.1 All payment of sales commission will be paid to the Introducer within 60 days from the conclusion of the purchase by the buyer introduced by the Introducer. Payment will be by way of banker cheques and will be posted to your address as provided by you. You are required to indicate and keep NUMINAGEM informed of the currency for the payment of your sales commission.

3. Force Majeure

3.1 NUMINAGEM shall be relieved from responsibility for failure to perform the obligations hereunder in the event of any act of God, strike, lockout, labour dispute, riot, insurrections civil unrest, war, military activity, fire, tempest, accident, flood, mechanical failure, statutory intervention, government regulations or any reasons beyond the reasonable control of NUMINAGEM.

4. Waiver

4.1 The waiver of any breach or failure to enforce any of the terms and conditions hereincontained by NUMINAGEM at any time shall not in any way affect limit or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.

5. Notification

5.1 Any notice required to be given hereunder shall be in writing and shall be sufficiently given if forwarded by email ,registered post, fax or to the registered address of the party given herein, or to such other address as the addressees may hereafter have notified to the other party in writing.

6. Amendments

6.1 NUMIAGEM reserves its right to make any amendment to the terms and conditions hereof without notice to you and any amendment thereof shall be effective from the date of its amendment.

7. Applicable Laws

7.1 This terms and conditions shall be governed by and construed in accordance with Malaysian law and each party agrees to submit to the exclusive jurisdiction of the Malaysian courts as regard any claim or matter arising under this Agreement.

8. Illegality

8.1 If any provision of the terms and conditions is or shall become invalid or unenforceable under the applicable law the other terms and conditions hereof shall in all other respects remain in full force and effect and the provision in question shall be ineffective to the extent (but only to the extent) of its disconformities with the requirements of the applicable law and if it is within the competence of the parties to waive any requirements which would otherwise operate as aforesaid those requirements are hereby waived to the extent permitted by such law to the end that this Agreement shall be valid binding and enforceable in accordance with its term.

9. Entire Agreement/No Employment/ No Partnership

9.1 The terms and conditions hereof embodies and sets forth the entire agreement and understanding of the parties and supersedes all prior orals or written agreements, understandings or arrangements relating to the subject matter of this Agreement. Neither party shall be entitled to rely on any agreement, understanding or arrangement which is not expressly set forth in this Agreement.
9.2 Nothing in this terms and conditions shall or shall be deemed to constitute a partnership or a contract of employment between the Parties.
